Provider: RidgeTech Software LLC (“RidgeTech,” “we,” “us,” or “our”), Tennessee, USA
1. Acceptance of Terms & Governing Law
By creating an account or accessing Semper Oratione, you agree to these Terms of Service and our Privacy Policy. These Terms are governed by the laws of the State of Tennessee, U.S.A., without regard to conflict‑of‑law principles.
If you access Semper Oratione from outside the United States, you do so at your own initiative and are responsible for compliance with any applicable local laws. Regardless of your location, you agree that any dispute arising out of or relating to these Terms or your use of the service shall be resolved exclusively in the state or federal courts located in Tennessee, and you consent to the personal jurisdiction of those courts.
If you access Semper Oratione on behalf of a Church, Ministry, or Organization, you represent that you have the authority to bind that entity to these Terms.
2. Subscriptions, Billing, and Auto‑Renewal
Semper Oratione offers tiered service levels, including free basic personal accounts, individual paid Pro subscriptions (billed on a monthly or annual basis), and Church & Ministry organizational tiers.
2.1 Auto-Renewal Terms
All paid subscriptions (Pro Monthly, Pro Annual, and Church & Ministry Plans) are provided on an automatically recurring basis. Your subscription will automatically renew at the conclusion of each billing period (monthly or annually, as selected) at the then-current subscription rate unless you actively cancel your subscription through your in-app account settings prior to the renewal date.
2.2 Payment Processing via Stripe
Payment transactions, billing collection, and subscription renewals are handled exclusively through our third-party payment processor, Stripe, Inc. By providing payment details, you authorize RidgeTech Software LLC and Stripe to charge your designated payment method for all applicable fees, recurring dues, and taxes. RidgeTech Software LLC does not collect, handle, or store full payment card numbers on its servers.
2.3 Church & Ministry Tier Seat Limits & Overages
The standard Church & Ministry tier ($149/year) includes a license quota strictly capped at 250 active member seats. Congregation members admitted under the church plan receive sponsored Pro access. Organizations exceeding their active seat limit may unlock additional capacity under graduated per-user overage pricing schedules as established by RidgeTech Software LLC.
2.4 Refund Policy
Except where strictly required by applicable consumer protection laws, all subscription fees, dues, and charges paid to RidgeTech Software LLC are final and non-refundable. Cancellation of a paid subscription terminates future recurring billings but does not entitle the subscriber to prorated refunds for remaining days in an active billing cycle.
3. User Conduct & Content Responsibility
You maintain sole legal responsibility for all prayer requests, prayer entries, confessions, reflections, praise testimonies, comments, notes, scripture annotations, and media files that you submit, transmit, or display through Semper Oratione (“User Content”).
3.1 Prohibited Content
You expressly agree not to post, upload, transmit, or distribute any User Content that:
- Is unlawful, defamatory, libelous, threatening, harassing, abusive, hateful, or promotes violence;
- Infringes upon or misappropriates any third party’s intellectual property, privacy, or publicity rights;
- Contains sexually explicit material, obscenity, or child exploitation material;
- Discloses sensitive personal identifying information (PII) or confidential medical data of living persons without their explicit legal consent; or
- Distributes unsolicited commercial advertising, promotional solicitations, pyramid schemes, or chain letters.
3.2 Organization Administration & Moderation
Designated administrators and moderators of Church & Ministry accounts possess administrative authority within their respective community groups to review, approve, reject, moderate, or remove member submissions and to suspend, approve, or revoke member access to shared feeds.
3.3 Prohibited Technical Activities
You agree not to: (a) reverse-engineer, decompile, or disassemble any aspect of the Service; (b) crawl, scrape, extract, or harvest data through automated means; (c) circumvent or disable any security safeguards, authentication protocols, rate limiters, or Cloudflare protections; or (d) introduce malware, trojans, viruses, or code designed to disrupt, degrade, or overburden our infrastructure.
4. Service Availability, Warranty Disclaimer & Limitation of Liability
4.1 “As Is” & “As Available” Disclaimer
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, THE SERVICE, DOCUMENTATION, AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. RIDGETECH SOFTWARE LLC SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, SYSTEM INTEGRATION, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE TIMELY, UNINTERRUPTED, SECURE, OR ERROR-FREE, NOR DO WE WARRANT THAT PRAYER RECORDS OR DATA WILL REMAIN IMMUNE FROM LOSS.
4.2 Limitation of Monetary Liability
UNDER NO CIRCUMSTANCES SHALL THE TOTAL AGGREGATE LIABILITY OF RIDGETECH SOFTWARE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF SEMPER ORATIONE EXCEED THE GREATER OF: (A) THE TOTAL SUM ACTUALLY PAID BY YOU TO RIDGETECH SOFTWARE LLC FOR ACCESS TO THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).
4.3 Exclusion of Consequential & Indirect Damages
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RIDGETECH SOFTWARE LLC BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF DATA, LOSS OF SPIRITUAL ARCHIVES, LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR THIRD-PARTY EXPENSES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR NEGLIGENCE), EVEN IF RIDGETECH SOFTWARE LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
5. Account Termination & Data Handling
5.1 Voluntary User Termination
You may permanently terminate and delete your account at any time via the Settings menu inside the application. Upon confirmation of deletion, your personal login credentials, private prayer lists, and personal settings are permanently deleted from active production database systems in compliance with our Privacy Policy.
5.2 Church & Ministry Organizational Records Anonymization
Important Clarification on Collaborative Content:
If you contributed prayer requests, praise testimonies, comments, or interactions to a Church & Ministry Organization, shared community feed, or group list, terminating your individual account will not expunge those contributions from the Organization’s historical records or community prayer journal. Instead, your personal identity and display name will be permanently anonymized (e.g., “Archived Member”) to preserve group continuity while safeguarding your personal privacy.
5.3 Termination by RidgeTech
RidgeTech Software LLC reserves the right to immediately suspend, restrict, or terminate your access to the Service at its sole discretion, without prior notice or liability, if we determine that you have violated these Terms, engaged in fraudulent activity, caused security risks, or failed to pay applicable subscription fees.
6. Intellectual Property & Scripture Copyright
RidgeTech Proprietary Rights: RidgeTech Software LLC retains all legal right, title, interest, and intellectual property in and to Semper Oratione, including all underlying software, source code, user interface designs, database schemas, algorithms, trademarks, trade dress, and service marks. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform strictly in accordance with these Terms.
User Content Ownership: You retain full intellectual property ownership of your submitted User Content. By submitting content through the Service, you grant RidgeTech Software LLC a non-exclusive, worldwide, royalty-free license to host, store, cache, format, and transmit your content solely for the operational purpose of delivering the Service to you and your authorized group members.

7. Third‑Party Services
Semper Oratione relies on specialized third-party infrastructure partners and subprocessors to deliver secure, performant digital services, including:
- Stripe, Inc.: Provides PCI-DSS compliant payment processing, merchant settlement, and subscription lifecycle management.
- Cloudflare, Inc.: Provides global edge computing, D1 distributed database hosting, DNS resolution, DDoS mitigation, and Web Application Firewall (WAF) security.
These third-party providers are bound by strict contractual data-processing agreements. Your access to third-party services is governed by the respective terms of service and privacy policies of those providers.
8. Changes to These Terms
RidgeTech Software LLC reserves the right to modify, amend, or update these Terms at any time to reflect operational modifications, product enhancements, business practices, or statutory mandates.
When material revisions occur, we will provide conspicuous advance notice through the application interface or via email to the address registered with your account. The “Effective Date” posted at the top of these Terms will indicate when updates become operative. Your continued access to or use of Semper Oratione following the effective date of updated Terms establishes your definitive agreement to be bound by the modified terms.
